Terms and Conditions

1. Acceptance of Terms

By accessing and using the CAPDESIS S.A. DE C.V. website (capdesis.com) and our services, you agree to be bound by these Terms and Conditions.

2. Services Offered

Capdesis offers two main categories of services:

2.1 Custom Software Development

  • Web applications
  • Mobile applications (iOS, Android)
  • Desktop applications
  • Automation and scripts
  • Software maintenance

2.2 Training and Education

  • Online courses via Udemy
  • On-site and remote corporate training
  • Technology consulting

3. Quotation and Hiring Process

3.1 Quote Request

The hiring process includes:

  1. Initial contact via WhatsApp, email or phone
  2. Meeting to understand project requirements
  3. Delivery of detailed quote without obligation
  4. Review and adjustments of quote if necessary
  5. Formal acceptance and contract signing

3.2 Project Scope

Each development project will include a Statement of Work specifying:

  • Features to be developed
  • Deliverables and milestones
  • Estimated timeline
  • Total cost and payment terms
  • Post-delivery support terms

4. Payments and Billing

4.1 Payment Methods

We accept:

  • Bank transfer (SPEI, CLABE)
  • Bank deposit
  • Other methods by agreement

4.2 Payment Schedule

Development projects typically follow this schedule:

  • Down payment: 30-50% upon contract signing
  • Intermediate payments: According to agreed milestones
  • Final payment: Upon delivery of complete project

4.3 Invoicing

We issue electronic invoices (CFDI) according to Mexican tax legislation. We require your tax information before issuing the invoice.

5. Intellectual Property

5.1 Custom Developed Software

For custom development projects, intellectual property rights are transferred to the client once full payment is completed, unless otherwise specified in the contract.

5.2 Reusable Code

Capdesis reserves the right to reuse generic code, libraries and open-source frameworks in future projects.

5.3 Website Content

All content on this website (texts, images, logos, code) is property of Capdesis and is protected by intellectual property laws.

6. Confidentiality

Capdesis commits to maintaining confidentiality of sensitive information shared during project development. Additional confidentiality agreements (NDA) can be signed if requested by the client.

7. Support and Maintenance

7.1 Warranty Period

We offer a warranty period against defects (bugs) as specified in each contract, typically:

  • 30-90 days post-delivery support
  • Bug fixes at no additional cost
  • Support via email and WhatsApp

7.2 Extended Maintenance

Maintenance and support beyond the warranty period is available through separate contracts.

8. Limitation of Liability

Capdesis will not be responsible for:

  • Indirect or consequential damages arising from software use
  • Data loss due to factors outside our control
  • Service interruptions caused by third parties (hosting providers, ISPs)
  • Misuse of delivered software

Our maximum liability is limited to the amount paid for the specific service.

9. Service Modifications

We reserve the right to modify or discontinue services with prior notice. Existing contracts will not be affected.

10. Project Cancellation

10.1 By the Client

The client may cancel a project under the following conditions:

  • Written notification 15 days in advance
  • Payment for work completed up to cancellation date
  • No refund of down payments

10.2 By Capdesis

Capdesis may cancel or suspend a project if:

  • The client fails to meet agreed payments
  • The client does not provide necessary information
  • Extraordinary circumstances exist

11. Applicable Law

These terms are governed by the laws of the United Mexican States. Any dispute will be resolved in the courts of Mexico City.

12. Changes to these Terms

We may update these terms occasionally. Significant changes will be notified to active clients. Continued use of the website constitutes acceptance of the updated terms.
